Effective 2 October 2026
Terms
These Terms govern the use of Cusu. The Service is intended exclusively for businesses and other legal entities, not consumers. By registering an account or using the Service, you confirm that you act in the course of business, have authority to bind the Customer, and agree to these Terms.
1. Provider and Service
Cusu is provided by David Vurbs (“Cusu” or the “Provider”). Cusu is a hosted platform for customer communications, support automation, team collaboration, related artificial intelligence features, and optional coordination with Customer-configured partners. Available functionality may vary by plan, configuration, and stage of product development.
2. Account and Authorised Users
The Customer is responsible for accurate registration details, safeguarding credentials, and all activity under its account. Access may only be given to authorised personnel and contractors. Suspected misuse must be reported promptly to hello@cusuai.com. An account may not be resold or made available to third parties outside the Customer’s organisation without Cusu’s consent.
3. Artificial Intelligence and Human Oversight
AI-generated outputs may be inaccurate, incomplete, or unsuitable, including messages drafted for end customers or for partners. The Customer is responsible for configuring the agent, connected sources, tools, and partners, reviewing important outputs, and maintaining appropriate human oversight. Cusu must not be used as the sole basis for medical, legal, credit, insurance, employment, or other decisions with a significant effect on a person, for emergency services, or for other high-risk uses without a separate written agreement and appropriate safeguards.
4. Customer Responsibilities
The Customer may submit or make available through integrations only data for which it has the necessary rights and lawful basis. It is responsible for its own notices to end users, handling their rights, and the lawfulness of instructions given to Cusu, including instructions to contact partners. The Service must not be used for unlawful content, spam, fraud, discrimination, harassment, security interference, development of malicious code, circumvention of restrictions, or infringement of third-party rights.
5. Prices, Credits, and Payment
Current prices and credit consumption are shown in the application or applicable offer. Prices exclude VAT and other taxes unless expressly stated otherwise. Purchased credits do not expire while the account remains active, are not money or a transferable payment instrument, and cannot be transferred outside the account. Payments are processed by Stripe. Refunds are provided only where required by mandatory law, where a payment was made in error, or where Cusu expressly agrees otherwise.
6. Integrations and Third-Party Services
Some features depend on third-party services, such as AI and voice providers, payment services, email infrastructure, or systems connected by the Customer. Their availability and terms may be outside Cusu’s control. The Customer is responsible for its accounts and permissions with services it connects. Cusu may restrict or discontinue an integration or partner-related feature that creates a security, legal, or operational risk.
7. Partner Communications
The Service may allow the Customer to register partners (for example carriers, warehouses, or other counterparties) and to have the assistant start nested partner threads under a customer ticket, including outbound email to those partners. By enabling a partner and allowing outbound contact, the Customer instructs Cusu to transmit conversation context, identifiers, attachments, and other content as generated or selected by the Service configuration. The Customer alone is responsible for choosing each partner, the partner’s contact details, when contact is appropriate, what may be disclosed, and for having a lawful basis and any required notices, consents, or contracts with the partner and with end customers. Cusu is not a party to the Customer’s relationship with any partner, does not control how a partner uses information it receives, and does not warrant the accuracy, completeness, confidentiality, or suitability of AI-generated or human-approved messages sent to partners. The Customer must not use partner communications to spam, harass, or unlawfully disclose personal data. Cusu may suspend partner outbound features where reasonably necessary for security, abuse prevention, or legal compliance.
8. Availability and Service Changes
Cusu aims to operate reliably but provides no public service-level guarantee and does not promise uninterrupted or error-free operation. The Service may be temporarily restricted for maintenance, security, force majeure, or a supplier outage. Features may be changed, added, or discontinued over time; without reasonable cause, a change will not materially deprive a paying Customer of the principal purpose of a Service already paid for.
9. Intellectual Property and Customer Data
Cusu and its licensors retain all rights in the Service, software, trademarks, and documentation. The Customer retains its rights in its data and content. For the duration of the account, the Customer grants Cusu a limited right to host, copy, transmit, and otherwise process that data solely as necessary to provide, secure, and support the Service. Cusu does not use the content of Customer conversations to train general-purpose artificial intelligence models.
10. Confidentiality and Data Protection
Each party will protect the other party’s non-public information and use it only to perform the agreement. The Privacy Policy describes Cusu’s handling of personal data. Where Cusu processes end-customer personal data on the Customer’s behalf, the Customer is the controller and Cusu is the processor; the processing terms required by Article 28 GDPR will be set out in a separate data processing agreement or individual contract. Disclosure to a Customer-configured partner is treated as processing on the Customer’s documented instruction; such partners are not Cusu’s subprocessors merely because the Service can email them.
11. Suspension and Termination
The Customer may terminate its account through support. Cusu may suspend access for non-payment, a security incident, breach of these Terms, a legal obligation, or a risk of harm; where reasonably possible, Cusu will give advance notice and an opportunity to remedy. On termination, unused credits lapse without refund unless the law requires otherwise. Active copies of Customer conversations and attachments will be deleted or anonymised without undue delay; residual copies may remain in secured backups for no more than 30 days and will not be used in the ordinary course.
12. Liability
To the extent permitted by law, the Service is provided “as is” without a warranty that it will achieve a particular business result. Cusu is not liable for indirect or consequential loss, lost profit, lost business opportunity, or loss caused by an incorrect AI output, a message sent to a partner, the Customer’s instruction, configuration, or integration, a partner’s acts or omissions, or any other third party. Cusu’s total liability arising in connection with the Service will not exceed the amount actually paid by the Customer during the 12 months preceding the event giving rise to the claim. These limitations do not apply where prohibited by mandatory law, including to intentionally caused harm.
13. Changes to These Terms
Cusu will give notice of a material change to these Terms, prices, or the list of processors by email at least 15 days before it takes effect. A shorter period may be used where required by law, security, or a supplier outside Cusu’s control. If the Customer objects to a material change, it may terminate the account before the change takes effect. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
The agreement is governed by the laws of the Czech Republic, excluding conflict-of-law rules. The parties will first attempt to resolve any dispute amicably. The courts of the Czech Republic having subject-matter and territorial jurisdiction for the Provider’s registered office will have jurisdiction where permitted by mandatory law.
15. Final Provisions
If a provision is invalid or unenforceable, the remaining provisions remain effective. The Customer may not assign the agreement without Cusu’s prior consent; Cusu may assign it to a legal successor or an entity acquiring its business. The Czech version prevails in the event of inconsistency. Questions may be sent to hello@cusuai.com.
